September 11, 2026, can be read at several speeds. On the surface: a series of consolidation acquisitions in public works, fitness, HR, and rail logistics. Beneath that: two fundamental shifts worth examining. On one hand, European enterprise software is rapidly reconfiguring under American ownership — Silver Lake orchestrates the Cegid-Silae merger while Bending Spoons digests Miro. On the other, European space sovereignty is finally being financed on an industrial scale, with The Exploration Company closing the largest fundraising round in the history of continental space tech. In between, the Franco-German interest rate spread, at its highest since 2012, reminds us that all this capital is being deployed in a tightening public financing environment.

Basic-Fit N.V.: Basic-Fit acquires 26 clubs in Germany and Austria
Basic-Fit Acquires 26 Clubs in Germany and Austria: Density as a Competitive Advantage
Source: finanznachrichten.de →
Basic-Fit acquires 18 Speedfit clubs in Austria and 8 Kraftwerk clubs in Germany for €26 million in cash, financed from its own resources. The transaction increases its Austrian network from 33 to 51 clubs and its German network from 114 to 122 clubs.
The thesis is simple and well-rehearsed: Basic-Fit rebrands, standardizes, and drives margins towards its own operating levels. What is interesting here is the financial discipline: €26 million for 26 clubs, or about one million per club — a price that reflects operational assets, not a growth premium. Basic-Fit is not paying for customers or a brand; it is paying for walls and equipment that it will repaint. This is raw infrastructure acquisition, not intangible value acquisition.

Biorsaf Raises €5.2 Million and Acquires Cooki: Food RegTech Through Consolidation
Biorsaf (Italy), a startup specializing in food regulatory compliance, raises €5.2 million and simultaneously acquires Cooki to build an AI-powered RegTech platform in the agri-food sector. A hybrid fundraising/acquisition operation, modest in size but coherent in its logic: consolidate data and regulatory expertise to offer an integrated tool to players in the food chain.

UniCredit acquires a minority of Germany’s fintech VC Trade – BeBeez International
UniCredit Takes a Stake in VC Trade: A Bank Buying Its Infrastructure of Tomorrow
Source: bebeez.eu → · Sector FinTech — 📬 subscribe to the FinTech newsletter
UniCredit acquires a minority stake in VC Trade, a Frankfurt fintech specializing in digital infrastructure for the private debt market. The reference valuation is €50 million, based on previous transactions (BayernLB, Helaba, RBI each acquired 10% at this level in 2022). UniCredit has also signed a call option to increase its stake further. VC Trade has processed over €90 billion in transactions since its creation in 2016 and brings together over 1,600 banks and institutional investors.
VC Trade is not a financial investment: it is the acquisition of a pipeline. The European private debt market continues to grow — banks syndicate, direct debt funds multiply, and all this activity needs digital infrastructure to structure, distribute, and manage the loan lifecycle. By acquiring a stake and negotiating an option to increase it, UniCredit secures privileged — and potentially exclusive — access to a platform that its competitors also use. This is the logic of enclosure applied to finance: controlling the infrastructure that others must use.
Spie batignolles Absorbs Braja-Vésigné: French Public Works Consolidation Reaches a Milestone
Source: refrance.fr → · Sector Construction & PropTech — 📬 subscribe to the Construction & PropTech newsletter
Spie batignolles acquires Braja-Vésigné, a family group founded in 1986 in Orange (Vaucluse), a benchmark in road works in the Southeast. The transaction brings the public works division's revenue to €790 million — an increase of nearly 40% — and its workforce to over 3,000 people.
The immediate reading: a classic build-up in a fragmented sector, Spie batignolles consolidates its geographical position and strengthens its national presence.
What deserves attention is the timing. Public infrastructure orders in France — roads, bridges, networks — are directly exposed to the state's borrowing capacity. However, the Franco-German interest rate spread today reached its highest level since 2012: the conditions under which the state and local authorities finance their work programs are deteriorating. Spie batignolles is betting on the structural demand for renewing aging infrastructure, but an acquirer or lender looking at this deal must consider that the public order book is more cyclical than it appears when sovereign rates rise.
Loft Orbital Secures a Billion Dollars in Abu Dhabi: Space as State Infrastructure
Loft Orbital, a Franco-American gem founded by Pierre-Damien Vaujour and Antoine de Chassy, signs a $1 billion (~€900 million) contract with the Abu Dhabi government to deploy a complete constellation of observation satellites dedicated to the Emirates — for territorial, maritime, and critical infrastructure surveillance.
The particularity of the Loft Orbital model: leasing space aboard shared satellites rather than selling turnkey spacecraft. This time, the constellation will be entirely dedicated — a deviation from its usual model, and a clear signal of what the client is truly buying.
Abu Dhabi is not acquiring a data service: it is buying sovereign intelligence capability that it does not want to delegate to an existing American or European operator. The billion dollars is the price of strategic autonomy. For Loft Orbital, this contract transforms the startup into a national infrastructure prime contractor — a status that opens doors in other Gulf, Asian, or African states that are looking at this model with interest. The first launches are expected as early as 2027 via SpaceX, with Thales Alenia Space providing the satellite buses.
Bending Spoons Acquires Miro: A Milanese Conglomerate Playing a Different Tune
Bending Spoons (Milan) acquires Miro, a visual collaboration platform founded in Amsterdam, for an enterprise value of $1.355 billion (~€1.2 billion), entirely in cash. The equity value reaches approximately $1.79 billion once net cash is included. The transaction is expected to close in Q4 2026. Notably: $295 million is reinvested by certain Miro shareholders in newly issued Bending Spoons shares — thus remaining indirectly exposed to the asset.
Miro claims over 250,000 organizational clients, approximately $600 million in annual recurring revenue, with nearly 90% coming from enterprise clients.
Bending Spoons just completed the acquisition of Airtable the previous week. Its portfolio already includes Evernote, Vimeo, WeTransfer, Brightcove, Eventbrite, and AOL — a list that looks less like a venture fund and more like a conglomerate of mature software assets seeking operational efficiency.
Bending Spoons' strategy is not that of a strategic acquirer seeking product synergies: it is that of an industrial operator betting on its ability to run established software assets better than their founding teams did. Miro had raised at much higher valuations during its post-Covid peak — this acquisition is made at a fraction of those peaks. What Bending Spoons is buying is an installed base of $600 million in recurring enterprise revenue, at a price that reflects market disillusionment with remote collaboration. The real question is not the valuation: it is whether the Italian company can extract enough efficiency from this accumulation of assets without degrading the products that customers have integrated into their critical workflows.
Kombiverkehr Takes Control of Combiberia: European Intermodal Rail Structures from the Bottom Up
Source: rutadeltransporte.com →
The German intermodal operator Kombiverkehr takes control of Combiberia, its Spanish counterpart, to strengthen its presence on the Iberian Peninsula. Amount undisclosed.
A logical consolidation operation in a sector where European rail corridors — particularly the Atlantic corridor — are gaining importance with freight decarbonization objectives. Kombiverkehr consolidates its end-to-end network between Germany and Spain.
Ixigo Acquires 60% of Trenes.com: An Indian Player Enters European Rail
Indian travel platform Ixigo acquires 60% of Trenes.com, a Spanish rail ticketing platform, for approximately 125 crore rupees (~€13 million).
This is the first significant foray of an Indian tech player into European rail transport distribution. Ixigo seeks to diversify its revenues beyond the Indian market and test its technological capabilities in a liberalized market. A modest operation in size, interesting as a signal of the internationalization of Indian travel platforms towards Europe.
HR Path Acquires tts digital HR experts: Consolidation of SAP Consulting in the DACH Region
HR Path acquires tts digital HR experts GmbH, a European firm specializing in SAP SuccessFactors and SAP HCM consulting and implementation, with teams in Germany, Austria, Switzerland, and Romania. Amount undisclosed.
A classic build-up operation for HR Path, which methodically strengthens its geographical coverage and technical depth in the SAP HR suite. The entity retains its name and management team — a sign of cautious integration that relies on customer continuity.
Greenly Acquires Normative: Carbon Accounting Consolidates Before the Standards Battle
Source: maddyness.com → · Sector Horizontal & Productivity SaaS — 📬 subscribe to the Horizontal & Productivity SaaS newsletter
Greenly (Paris) acquires Normative (Stockholm/Copenhagen/London), its Scandinavian competitor specializing in carbon accounting for key accounts. The transaction is done through a share exchange — Normative's shareholders (Blume Equity, Horizons, ETF Partners, 2150) become shareholders in Greenly. Normative's 170 employees are retained, and Normative's CTO becomes Greenly's CTO. Amount undisclosed. The new entity covers over 4,000 clients in about thirty countries.
Greenly had closed a Series B of €49 million two years ago. Management explicitly cites the failure of Withings' integration into Nokia as a deterrent — the two brands will coexist.
The carbon accounting market today resembles cybersecurity ten years ago: many players, standards being defined, and inevitable consolidation before large companies choose their long-term suppliers. Greenly is betting that critical mass — in clients, geographies, data — will be the decisive selection criterion when European regulations (CSRD at the forefront) force companies to equip themselves seriously. The share exchange rather than a cash acquisition also says something: Greenly preserves its cash for the race ahead, while offering Normative's shareholders a stake in the future value of the new entity.
paraDIGMA groep Acquires Codex Analyse: Fifth Acquisition in 2026 for the Dutch Consolidator
paraDIGMA groep (Nieuwegein, Netherlands), backed by Castik Capital, acquires Codex Analyse, a Dutch specialist in wage cost schemes and social security legislation, with its proprietary employer subsidy management software. Closing expected by the end of October, subject to approval from the Dutch Healthcare Authority. Amount undisclosed. This is paraDIGMA's fifth acquisition in 2026.
Disciplined build-up in HR and occupational health services in the Netherlands. Codex brings complementary software expertise in employment aid — a useful asset in a context where Dutch companies seek to optimize their wage costs in a tight labor market.
Silver Lake Merges Cegid and Silae: When an American Fund Doesn't Sell, It Means They've Understood Something
Noted in the day's dominant context, but present in the sourced transactions: Silver Lake merges Cegid (accounting, tax, retail management software for SMEs) and Silae (payroll and HR, over 13 million payslips per month) into an entity valued between €10 and €11.6 billion. The new entity boasts €1.6 billion in annual revenue, nearly 2 million end customers, over 15,000 accounting firms in its network, and a team of 1,400 developers. Christian Pedersen (ex-SAP, ex-Microsoft) will take the helm. The merger is expected to be finalized in early 2027.
Silver Lake has owned Cegid since 2016 and Silae since 2020. A classic exit — IPO or sale to another fund — could have happened. It is not happening.
What is happening here is more interesting than the simple creation of a European software champion. Silver Lake has understood that in enterprise software, value no longer comes from isolated functionality but from interconnected data. An accounting firm using Cegid for accounting and Silae for payroll produces data in two separate systems that do not communicate. Merged onto a single platform, this data becomes the raw material for an AI layer that can automate tax reconciliation, detect payroll anomalies, and anticipate cash flows. The value is not in the software — it is in the data platform that their combination makes possible. Silver Lake is not selling because it has not yet extracted this value. It is merging because that is the condition for accessing it. For French management software publishers still operating in silos, this is a clear signal of what their customers will be buying in three years.

Arlequin AI Raises €28 Million: An AI Architecture Betting on Topology Rather Than Size
Source: maddyness.com → · Sector Data & Analytics — 📬 subscribe to the Data & Analytics newsletter
Arlequin AI (Paris, founded in 2024) closes a Series A of €28 million, co-led by redalpine and OTB Ventures, with participation from Bpifrance's Fonds Innovation Défense. Historical investors Vsquared Ventures and 10x Founders strengthen their position. Xavier Niel and ZEBOX (CMA CGM's accelerator) become shareholders.
The founders: Hugo Micheron, a political science doctor specializing in jihadism and geopolitical instability, and Antoine Jardin, former CNRS research engineer in data science. The technology: topological neural networks (TNNs), an architecture that learns from the structure of data and the relationships between them — and not only from the data itself. The stated target: organizations that make consequential decisions from fragmented and heterogeneous data — security, defense, counter-terrorism, fraud prevention, intelligence.
Arlequin explicitly presents itself as the sovereign European alternative to Palantir.
The technical distinction deserves to be understood. A large language model learns statistical correlations in token sequences. A topological network learns the structure of relationships between entities — who talks to whom, which transaction links which actors, how a network deforms under pressure. To analyze a terrorist financing network or detect organized fraud, the question is not "which word comes after which word" but "which entity is connected to which other, and how." This is a graph problem, not a sequence problem. If the architecture delivers on its promises at scale, Arlequin addresses a market that LLMs cannot serve correctly — and that Palantir has addressed for twenty years with heavier methods. The presence of Bpifrance's Fonds Innovation Défense in the round signals that sovereign institutional clients are already in the loop, which is the best possible traction signal in this segment.

FRYTE Mobility (Munich) closes a €3.5 million seed round (bringing the total raised to €5 million), led by 4impact capital and Rethink Ventures, with participation from Revent, F-LOG, accilium ventures, and business angels. The use: deploy FRYTE's software platform in Europe — a tool that connects transport management systems (TMS) with charging point management systems (CPMS) to allow electric truck fleets to book charging slots in advance.
The problem is real and underestimated: an electric truck cannot simply stop anywhere to recharge like a car — charging times, available power, and route planning must be coordinated. FRYTE has already processed over 200 operational bookings. At this stage, it is a proof of concept seeking to scale.

Nexans Raises €500 Million on Bond Markets: Financing America from Paris
Nexans raises €500 million on bond markets to finance its industrial development in the United States — submarine cables, energy infrastructure, energy transition.
The operation comes precisely as the Franco-German interest rate spread widens. Nexans is borrowing in euros to invest in dollars — an implicit currency bet, but above all a signal that the American electrical infrastructure market (driven by the Inflation Reduction Act and its successors) is attractive enough to justify a bond issuance in a deteriorating French sovereign rate environment. For a French bond investor, it is also a reminder that national industrial champions seek growth elsewhere when domestic demand slackens.

The Exploration Company Raises $450 Million: European Space Sovereignty Finally Financed at Scale
The Exploration Company (TEC), founded in 2021 by Hélène Huby (formerly of Airbus Defence and Space), closes a Series C of $450 million (~€387 million) — the largest fundraising ever by a European space company, and the largest ever by a woman-led company in this sector. The total raised since inception reaches $680 million. The company employs over 550 people across Munich, Bordeaux, the United States, and the Emirates.
The project: the Nyx cargo capsule, capable of transporting 3 tons of reusable cargo to the ISS by 2028 (demonstrator successfully tested in June 2025). And, even more ambitious, the Storm engine — a reusable 180-ton thrust liquid oxygen and biomethane staged-combustion engine, designed for future European heavy launchers. The industrial base is in Gironde: 7,500 m² in Le Haillan and four test benches in Mérignac validated in July 2026.
What distinguishes TEC from other European space startups is the combination of a demonstrator that has flown and a game-changing engine. SpaceX built its dominance on mastering the engine — the Merlin, then the Raptor — because the engine is the fundamental constraint of access to space. Storm is the European attempt to no longer depend on this constraint. At $450 million, TEC is now capitalized to complete industrial demonstration, not just proof of concept. For a French investor or public decision-maker, it is also confirmation that Bordeaux can be a leading industrial space hub — provided that European institutional orders (ESA, CNES, service contracts) follow private capital.

Hygie31 Takes Control of Navi Group: Independent Irish Pharmacy Goes French
A French healthcare group — Hygie31, affiliated with over 3,900 independent pharmacies for a combined revenue of €5 billion — acquires a majority stake in Navi Group, an Irish pharmaceutical services platform bringing together over 600 community pharmacies in Dublin. The valuation exceeds €50 million.
The transaction comes four years after Uniphar was blocked by the Irish competition regulator on the same deal. Hygie31 succeeds where Uniphar could not.
The logic is clear: independent pharmacy networks everywhere face the same pressure — integrated chains and digital platforms capture margins on supply and services. The answer is European-scale mutualization: Hygie31 brings its purchasing volume and tools to Navi, Navi brings access to the Irish market. For a French player in the sector, this demonstrates that European expansion through local networks is feasible — provided one is not already a dominant player in the target market.
Franco-German Interest Rate Spread at Highest Since 2012: The Context That Colors Everything
This is not a transaction, but it is the framework in which all others are read. BFM Business reports that the spread between French and German borrowing rates has reached its highest level since 2012 — the year of the European sovereign debt crisis.
For capital players in France, this signal has a concrete translation: the cost of debt for French companies borrowing on bond markets is increasing compared to their German counterparts. Highly leveraged LBOs, corporate bonds, public infrastructure financing — all this is happening in an environment where the France risk premium is rising. It's not panic yet, as BFM titles, but it's a context in which financing decisions made today will be more expensive than they would have been eighteen months ago.
