Analysis of M&A and Fundraising Deals on October 20, 2026

Pharma, infrastructure, green energy, and AI agents: capital is being deployed on several fronts today, against the backdrop of France's largest industrial move of the year.

Open this edition in the cockpit →Every deal of the day, unfolded, evaluable in one click.

The day is dominated by a major French transaction — Schneider Electric raising €6 billion to finance its acquisition of American software publisher PTC — but the rest of the flow reveals a broader geography: consolidation of civil infrastructure in the United States, entry of an American fund into Italian industry, and fundraisings covering everything from Indian hydrogen to Dutch gym management. No single overarching theme emerges: it's a day of capital in motion, sectorally and geographically, best understood deal by deal.

Platinum Equity takes control of Trime, Italian manufacturer of mobile lighting towers

    Source: prnewswire.com →

Trime, an Italian manufacturer based in Cassinetta di Lugagnano (near Milan), produces mobile lighting towers, generators, and security towers — in conventional, hybrid, battery-powered, and solar versions — for the construction, infrastructure, mining, emergency response, and event markets. The company operates four production sites in Italy and sells its products in over 30 countries, with direct sales operations in the UK, Netherlands, USA, and Australia. Platinum Equity, an American private equity fund specializing in industrial operations and equipment, has signed a definitive agreement to acquire a majority stake in Trime. Founder and Chairman Andrea Fontanella, CEO Paolo Tacconi, and other management members are reinvesting alongside Platinum. Financial terms were not disclosed. Closing is expected in early 2027, subject to customary regulatory conditions.

Platinum Equity explicitly cites growing demand in North America — particularly from equipment rental companies, contractors, and infrastructure customers — and the potential related to investments in data centers and energy production as acceleration drivers.

Strategic interpretation: Platinum Equity is not acquiring Trime for its European market share — it is acquiring an Italian production base to address American demand. The thesis is simple: the United States is investing heavily in infrastructure and data centers, which generates structural demand for construction lighting equipment. Trime has already established a direct commercial presence in the United States; Platinum brings industrial relationships and scaling experience in equipment rental (BlueLine Rental being a reference cited in their history). This is a bet on American demand for physical infrastructure, financed by a European acquisition at an industrial price.

Merck KGaA acquires Silence Therapeutics: a $1.1 billion molecule

Source: timesargus.com → · Sector Biotech & Pharma — 📬 subscribe to the Biotech & Pharma newsletter

Merck KGaA (Darmstadt, Germany — a science and technology group distinct from the American Merck & Co.) announced on October 19 a definitive agreement to acquire Silence Therapeutics plc (Nasdaq-listed, headquartered in London), a clinical-stage biotech specializing in the development of siRNA (short interfering RNA) therapies targeting rare and cardiovascular diseases. The price is $20 per ADS (each ADS representing three ordinary shares), for an enterprise value of $1.1 billion and an equity value of approximately $1.3 billion. The premium represents 82% compared to the 30-day volume-weighted average price before the announcement. The transaction is subject to customary closing conditions.

The central asset is Divesiran, an siRNA therapy in Phase 3 for polycythemia vera (PV), a rare blood cancer characterized by an overproduction of red blood cells, which forces patients to undergo frequent therapeutic phlebotomies. Divesiran, administered by subcutaneous injection once every three months, targets the TMPRSS6 gene to increase hepcidin and limit iron availability — thereby reducing red blood cell production. In the SANRECO Phase 2 study, Divesiran met its primary endpoint with an 88% responder rate versus 19% for placebo.

Merck KGaA is essentially paying for a single Phase 3 molecule in a rare indication with a high unmet medical need. This is a pipeline acquisition strategy that the group already followed with SpringWorks Therapeutics last year: rather than developing internally, it buys clinical proof at a stage where development risk is still present but value is already discernible. The 82% premium indicates that Merck KGaA considers the residual Phase 3 risk to be low — and that Divesiran's competitive position in PV justifies this price.

Construction Partners strengthens its highway network in Florida

Source: fr.investing.com → · Sector Construction & PropTech — 📬 subscribe to the Construction & PropTech newsletter

Construction Partners Inc. (Nasdaq: ROAD), an American company specializing in civil surface infrastructure — road construction, repair, and maintenance, operating in Alabama, Florida, Georgia, North Carolina, Oklahoma, South Carolina, Tennessee, and Texas, with a majority of publicly funded projects — has acquired S.E. Cline Construction Inc., a Florida-based company specializing in commercial site development and underground utility construction, located in Palm Coast. The transaction includes approximately 60 employees and a rail-served hot-mix asphalt production facility in Bunnell, Florida. Financial terms were not disclosed.

Cline operates along the Interstate 95 corridor in northeast and central Florida. The acquired operations will be integrated into C.W. Roberts Contracting (CWR), Construction Partners' Florida platform. This operation follows the acquisition of P&S Paving in Daytona Beach in 2025, strengthening CWR's density along the same corridor.

Strategic interpretation: the logic is geographical before it is sectoral. A rail-served asphalt plant on I-95 is a production infrastructure, not just a team. For a platform that primarily responds to public tenders, controlling its own material production capacity on a high-activity corridor reduces dependence on suppliers and improves margins on local projects.

The platform centralizes member management, class scheduling, payments, financial reporting, and automation into a single system, with a KPI dashboard covering revenue, VAT, subscription metrics, and role-based access controls. It integrates payment partners like Mollie and aggregators such as Urban Sports Club and ClassPass. Huppa raised €1 million in pre-seed funding from a group of experienced entrepreneurs including the founders of Sentia, Keylane, TicketSwap, Moneybird, and Revue, as well as NL SportTech Ventures, an early-stage fund specializing in Dutch sports technology. The funds will be used to continue platform development and strengthen the team. Huppa aims to add AI-driven analytics and automation capabilities to help managers identify their most profitable subscriptions and classes.

Tenstorrent at $6.2 billion: open-weight AI chips find institutional investors

Tenstorrent, a Canadian AI chip designer led by Jim Keller (one of the most renowned architects in the processor industry), has closed a $1.5 billion Series E at a post-money valuation of $6.2 billion — more than double the $2.6 billion valuation achieved during its approximately $700 million Series D in late 2024. The round was led by Trace Capital and Innovation X (new American investors), with participation from Protagonist, Morgan Stanley, Fidelity, ARK Invest, and T. Rowe Price. Canadian investors also participated, without being named.

Tenstorrent positions itself on "open-weight" AI chips — an open architecture that allows customers to customize and deploy models without dependence on a closed proprietary ecosystem, in direct opposition to the Nvidia model. The company offers both silicon and software tools.

What distinguishes this round from previous ones is the composition of investors: Morgan Stanley, Fidelity, T. Rowe Price, and ARK Invest are public asset managers entering a private round. This signals that Tenstorrent is preparing for an IPO or near-term liquidity — and that these funds want to be present before that window. The doubling of valuation in less than two years also indicates that the market is beginning to value the alternative-to-Nvidia thesis, no longer as a speculative bet, but as a credible portfolio position.

Enzo Ventures: €20 million for Southern European founders

Enzo Ventures, a venture capital fund based in Barcelona and Madrid, has finalized the closing of its second fund, a €20 million vehicle dedicated to pre-seed, targeting startups founded by Southern European entrepreneurs regardless of their location. Enzo states that it raised these funds from family offices in Spain, Europe, and Mexico.
